Terms of Service

These Terms of Service ("Terms") govern your access to and use of Grimblo ("we," "us," or "our"), including our website at grimblo.com, our platform, and any associated services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms in full.

If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years of age to use Grimblo. By using the Service, you represent and warrant that you meet this requirement and that all information you provide is accurate, current, and complete. If you are using Grimblo on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials. You are fully responsible for all activity that occurs under your account. You must notify us immediately at legal@grimblo.com if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are inactive for more than 24 months.

3. The Service

Grimblo provides a link-in-bio platform and related tools that allow users to create identity pages, add links and content blocks, collect email subscribers, manage domains, and participate in an affiliate referral program. Features vary by subscription plan.

We may modify, suspend, or discontinue any feature or the Service at any time with reasonable notice where practicable. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

4. Subscriptions and Billing

• Paid subscriptions are billed on a recurring monthly basis via Stripe. Prices are displayed at checkout and may be changed with at least 30 days' notice.
• Subscriptions automatically renew. You may cancel at any time through your account settings. Cancellation takes effect at the end of your current billing period; no partial refunds are issued for the unused portion.
• All prices are in USD. Taxes may apply depending on your jurisdiction.
• We use Stripe to process payments. Your payment information is never stored on our servers. By providing payment information, you agree to Stripe's terms of service.
• We reserve the right to suspend or downgrade access if a payment fails and is not resolved within 7 days of notification.

5. Free Plan

Grimblo offers a free tier with limited features. Free accounts are subject to usage limits as defined in our pricing page. We reserve the right to modify, limit, or discontinue the free tier at any time with 30 days' notice to existing free users.

6. User Content

You retain ownership of all content you submit to the Service ("User Content"). By submitting User Content, you grant Grimblo a non-exclusive, worldwide, royalty-free license to host, display, and transmit that content solely to operate the Service.

You are solely responsible for your User Content. You must not post content that:

• Violates any applicable law or regulation
• Infringes the intellectual property rights of any third party
• Contains spam, malware, or deceptive content
• Is defamatory, harassing, obscene, or promotes violence
• Impersonates any person or entity

We reserve the right to remove any User Content and suspend any account at our sole discretion.

7. Prohibited Conduct

You agree not to:

• Use the Service to send unsolicited communications (spam)
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse-engineer, decompile, or disassemble the Service
• Use automated tools to scrape, crawl, or harvest data from the Service without express written consent
• Use the Service in any way that could damage, disable, or impair it
• Resell access to the Service without written authorization
• Engage in any fraudulent activity, including artificially generating affiliate referrals

8. Affiliate Program

Participation in the Grimblo Affiliate Program is subject to our Affiliate Program Policy, which is incorporated into these Terms by reference. We reserve the right to modify commission rates, eligibility criteria, and payout terms at any time with 30 days' notice.

9. Intellectual Property

The Service, including its design, software, trademarks, logos, and content created by Grimblo, is owned by Grimblo and protected by applicable intellectual property laws. You may not use any Grimblo branding without prior written consent, except to share a link to your public identity page.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GRIMBLO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Grimblo and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

13. Termination

Either party may terminate the agreement formed by these Terms at any time. We may terminate or suspend your access immediately, without prior notice, for any material breach of these Terms. Upon termination, your right to use the Service ceases. We may retain your data for up to 90 days after termination before deletion.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you by email or by displaying a notice in the Service at least 14 days before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
